Macau's six casino concessionaires commit MOP9 billion to a government guidance fund, counted toward their non-gaming investment pledges
Macau's six gaming concessionaires signed agreements on October 23 to become limited partners in the Macao SAR Government Guidance Fund No. 2, committing a combined MOP9 billion alongside MOP11 billion from the government. Filings by Sands China, Galaxy, Wynn Macau, MGM China, SJM and Melco show that every pataca they put in will count toward the non-gaming investment obligations in their concession contracts. The fund runs for 15 years and is managed by government-owned entities.

Overview
- The Macao SAR Government Guidance Fund No. 2 was launched at a signing ceremony at Government Headquarters on October 23, with an initial size of MOP20 billion: MOP11 billion from the government and MOP9 billion from the six casino concessionaires.
- Commitments disclosed to the Hong Kong stock exchange: Venetian Macau (Sands China) about MOP2.30 billion, Galaxy Casino about MOP2.27 billion, Wynn Resorts (Macau) up to MOP1.365 billion, MGM Grand Paradise MOP1.24 billion, SJM Resorts MOP992.7 million and Melco Resorts (Macau) MOP828.0 million.
- Each company says its contributions will be credited, pataca for pataca, against the investment obligations in its concession contract. SJM says the deal is therefore not expected to add material financial obligations.
- The fund's general partner and its manager are owned by the Macau government. The operators will not take part in day-to-day management.
- The fund's term is 15 years from registration, with up to two one-year extensions, which runs past the current concessions' end in 2032.
What was signed on October 23
According to the Government Information Bureau, the agreements were signed in the presence of Chief Executive Sam Hou Fai, Liaison Office director Zheng Xincong and Secretary for Economy and Finance Ng Wai Han. The government's MOP11 billion comes from accumulated returns on Macau's fiscal reserves. The fund is set up under Law No. 11/2025 (the Investment Funds Law) and Administrative Regulation No. 26/2026 on government guidance funds, and is managed by Macau Investment and Management Company Limited.
The government describes a three-tier structure of a guidance fund, parent funds and sub-funds, with professional managers for the lower tiers chosen through an open selection process. The stated targets are emerging industries, industrial upgrading, commercialisation of research, technology start-ups, and projects supporting the Guangdong-Macao In-depth Cooperation Zone in Hengqin and the Greater Bay Area. Secretary Ng said the six operators "continue to fulfil their investment commitments in non-gaming sectors as stipulated in their concession contracts."
Each concessionaire's commitment to the guidance fund
| Concessionaire (listed parent) | Commitment | Detail from filing |
|---|---|---|
| Venetian Macau (Sands China) | about MOP2.30bn (about US$285m) | Replaces other projects and spending planned within its MOP33.39bn non-gaming commitment |
| Galaxy Casino (Galaxy Entertainment) | about MOP2.27bn | Contributions to be paid in stages |
| Wynn Resorts (Macau) (Wynn Macau) | up to MOP1,365.03m | Treated as a discloseable transaction under Hong Kong listing rules |
| MGM Grand Paradise (MGM China) | MOP1.24bn | Forms part of its MOP15bn non-gaming investment pledge |
| SJM Resorts (SJM Holdings) | MOP992.7m | "Not expected to cause material incremental financial obligation" |
| Melco Resorts (Macau) (Melco International) | MOP828.0m | About 9.2% of the MOP9bn total |
The six commitments add up to about MOP9.0 billion. Measured against the non-gaming pledges disclosed in the same filings, Sands China's share works out at about 6.9% of its MOP33.39 billion obligation and MGM's at about 8.3% of its MOP15 billion, by AskSpinner's calculation from the filing figures.
How the money counts toward concession obligations
Under the concession contracts that took effect on January 1, 2023, each operator promised to invest set amounts in gaming and non-gaming projects. Sands China says its investments must be completed by December 31, 2032. Wynn Macau's filing states that capital contributions to the fund "shall be deemed to have fulfilled investment obligations in the same amount" under the concession contract, and Melco and SJM use the same wording. Sands China says its commitment "replaces other projects and spend" it had planned under those obligations.
So the fund does not add a new cost on top of the concessions. It moves part of the money the operators had already promised for non-gaming projects into a government-directed fund. What changes is control: the operators will choose fewer of their own projects, and investment decisions for this slice will be taken by the government-owned manager.
Terms in the limited partnership agreement
The Wynn Macau and Melco filings give the most detail on the terms:
- Drawdowns: capital is called with at least 30 days' written notice, which can be shortened to no less than seven business days in emergencies.
- Management: the general partner, Macau Project Management (No. 2) Limited, and the management entity have full responsibility for the fund. Limited partners do not take part in day-to-day operations. MGM China says the first five years are the investment period.
- Term: 15 years from the date the fund completes commercial registration, with up to two one-year extensions. Melco notes that the fund's term is separate from the concession contract.
- Transfers: interests cannot be traded and can only be transferred with the consent of the general partner or the manager. A concessionaire that transfers its interest stays jointly and severally liable if the buyer fails to pay.
- Returns: distributable proceeds from each investment are shared according to each partner's percentage. Galaxy says all limited partners get rights and benefits on the same terms.
Macau's casino sector is also under enforcement pressure on the gaming floor. Police recently recorded a fourth proxy betting case in five weeks in Cotai.
